When forming a corporation in California, many people find it a bit confusing to try and determine which they need to file: Articles of Organization or Articles of Incorporation. If you are already a business or company, and you want to become incorporated, you want to file Articles of Incorporation. If you are an individual, or a group, and you want to form a limited liability corporation, you want to file Articles of Organization. For instance, if you work from home as an independent contractor and the company that offers work requires that you are, or become, an LLC, you file Articles of Organization with the state of California. So how do you do it?

Articles of Organization Form

You can always find a business attorney to help you file your articles of organization form in California, but there's no reason you can't fill out the form on your own. You can find information and the articles of organization form on The Secretary of State's website. There is a $70 filing fee that must accompany your articles of organization form California in order for it to be processed.

The form is very easy to fill out and requests the following information:

- Name of Limited Liability Company: you can use your own name or make something up. You must include wither LLC or L.L.C. at the end of the name.

- Name of initial agent for service of process: typically, this will be you.

- Address of initial agent for service of process: again, you will be the initial agent so this is your address.

- Management: one manager, more than one manager or all limited liability company members. This is pretty self-explanatory; if you are operating as an individual, you have one manager: you.

- Additional information: it's unusual for an individual to include any additional info.

- Date, signature and printed name.

That's it! You can fill it out online, print it out and send it in to the Secretary of State's office with your filing fee. It's easy to get nervous about having to file paperwork with the state but many people are under the mistaken impression that they have to type up a mountain of forms. Articles of Organization couldn't be simpler to file! Don't forget, though, that if you file as an LLC with California, you also need to declare yourself as an entity with the IRS, which is also really easy and can be done on the IRS site.
